Agreement to Terms

By accessing or using Jazirix Technologies' services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

The materials and services provided by Jazirix Technologies are protected by applicable copyright and trademark law. Your use of our services grants you a limited license in accordance with these terms.

Services Description

Jazirix Technologies provides a comprehensive range of IT services, including but not limited to:

• Web Development: Custom website design, development, and maintenance services
• Mobile App Development: Native and cross-platform mobile application development for iOS and Android
• Digital Marketing: SEO, SEM, social media marketing, and content marketing services
• Cybersecurity Services: Security audits, threat detection, and protection solutions
• Digital Transformation: Business process automation and cloud solutions
• Graphics Design: Brand identity, UI/UX design, and marketing materials

All services are provided subject to the specific terms outlined in individual service agreements and these general Terms of Service.

User Accounts and Registration

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Not share your account credentials with third parties
• Not create multiple accounts for the same person or entity

We reserve the right to suspend or terminate accounts that violate these terms or engage in suspicious or fraudulent activity.

Payment Terms and Billing

Our payment terms are designed to be fair and transparent. By engaging our services, you agree to the following:

Pricing and Fees

• All prices are stated in AED (United Arab Emirates Dirham) unless otherwise specified
• Pricing is subject to change with 30 days' notice for ongoing services
• Custom project quotes are valid for 30 days from the date of issue
• Additional services beyond the agreed scope will be billed separately

Payment Schedule

• Monthly subscription plans are billed in advance on the first day of each month
• Annual plans require full payment upfront with applicable discounts
• Custom projects typically follow a milestone-based payment structure
• Invoices are due within 15 days of the invoice date unless otherwise agreed

Refund Policy

• Subscription services: Refunds may be provided within 7 days of initial payment
• Custom projects: Refunds are subject to the terms outlined in the project agreement
• Completed work and delivered services are non-refundable
• Refund requests must be submitted in writing with valid justification

Intellectual Property Rights

Intellectual property rights are clearly defined to protect both parties' interests:

Our Intellectual Property

• All Jazirix Technologies branding, logos, and trademarks remain our exclusive property
• Our proprietary tools, frameworks, and methodologies are protected by copyright
• Website templates, code libraries, and design systems remain our property unless explicitly transferred
• Pre-existing intellectual property used in projects remains our property

Your Intellectual Property

• You retain all rights to content, materials, and information you provide
• You grant us a license to use your materials solely for delivering the contracted services
• You warrant that you have the right to use all materials provided to us
• You agree to indemnify us against any IP infringement claims related to your materials

Deliverables and Ownership

• Upon full payment, custom-developed deliverables transfer to you as specified in the agreement
• Source code and documentation transfer upon final payment unless otherwise agreed
• We retain the right to showcase completed work in our portfolio unless confidentiality is agreed
• Third-party licenses and tools are subject to their respective terms

User Conduct and Responsibilities

When using our services, you agree to conduct yourself in accordance with these guidelines:

Prohibited Activities

• Using our services for any illegal or unauthorized purpose
• Attempting to gain unauthorized access to our systems or networks
• Distributing malware, viruses, or any harmful code through our services
• Engaging in any activity that disrupts or interferes with our services
• Violating any applicable laws or regulations
• Infringing on the intellectual property rights of others
• Transmitting spam, unsolicited communications, or fraudulent content
• Impersonating any person or entity or misrepresenting your affiliation

Your Responsibilities

• Providing accurate and complete information as requested
• Responding to our communications in a timely manner
• Reviewing and approving deliverables within agreed timeframes
• Maintaining the confidentiality of your account credentials
• Ensuring all content you provide complies with applicable laws
• Backing up your data and content regularly

Service Level and Performance

We strive to provide high-quality services with reliable performance:

• Availability: We aim for 99.9% uptime for our hosting and online services, excluding scheduled maintenance
• Maintenance: Scheduled maintenance will be announced in advance when possible
• Support: Support response times vary based on your service plan and issue severity
• Project Timelines: Delivery timelines are estimates and depend on client cooperation and timely feedback
• Quality Standards: All work is performed according to industry best practices and standards

Termination of Services

Either party may terminate services under the following conditions:

Termination by Client

• Subscription services can be cancelled with 30 days' written notice
• No refunds for partial months or unused services in the current billing cycle
• Project termination requires written notice and settlement of all work completed
• All outstanding invoices must be paid before account closure

Termination by Jazirix

• We may terminate services immediately for non-payment after 30 days
• Violation of these terms may result in immediate termination
• Abusive behavior toward our staff may result in service termination
• We reserve the right to refuse service to anyone for any lawful reason

Post-Termination

• You will have 30 days to export your data after termination
• All payment obligations remain in effect after termination
• Confidentiality obligations survive termination indefinitely
• We will provide reasonable assistance in transitioning services

Warranties and Disclaimers

Our Warranties

• We warrant that services will be performed with reasonable skill and care
• Custom-developed work will be free from material defects for 90 days after delivery
• We will correct any defects reported within the warranty period at no additional charge
• Services will comply with specifications outlined in the service agreement

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that services will be uninterrupted or error-free
• Warranties regarding third-party services or products we may recommend

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims related to services shall not exceed the amount paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• We are not responsible for delays or failures caused by circumstances beyond our reasonable control
• Third-party services, products, or platforms are beyond our control and liability
• We are not liable for unauthorized access to or alteration of your transmissions or data

Some jurisdictions do not allow limitation of liability for consequential damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Jazirix Technologies, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Content, information, or materials you provide to us
• Any breach of your representations and warranties
• Your negligent or wrongful conduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information:

Confidential Information Includes

• Business plans, strategies, and financial information
• Technical information, source code, and proprietary methodologies
• Customer lists, pricing, and marketing strategies
• Any information marked as confidential or that should reasonably be considered confidential

Obligations

• Not disclose confidential information to third parties without written consent
• Use confidential information only for the purpose of performing services
• Protect confidential information with the same care as your own
• Return or destroy confidential information upon request or termination

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Changes to Terms of Service

We reserve the right to modify these Terms of Service at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• Material changes will be communicated via email to registered users
• Continued use of services after changes constitutes acceptance of new terms
• If you do not agree to changes, you must discontinue use of our services
• Changes apply prospectively to all users

We encourage you to review these terms periodically to stay informed of any updates.

Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Dispute Resolution Process

1. Informal Resolution: Contact us first to resolve disputes informally
2. Mediation: If informal resolution fails, parties agree to attempt mediation
3. Arbitration: Unresolved disputes will be settled by binding arbitration in Dubai, UAE
4. Court Jurisdiction: If arbitration is unavailable, disputes will be resolved in Dubai courts

You agree to waive any right to a jury trial and to participate in class action lawsuits.

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Jazirix Technologies.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.

Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
